MedCalc software license agreement
Use of the MedCalc software is subject to this Software License Agreement. Please use the software only if you agree to comply with these terms and conditions. By installing the software and entering your user name and personal product key, you accept this Agreement.
Grant of license
The software is owned by MedCalc Software and is protected by Belgian and United States copyright laws, as well as applicable international treaty provisions.
Except as expressly permitted in this Agreement, you may not share, sell, rent, lease, or transfer the software, your license, your user name, or your product key. You may not reverse engineer, decompile, disassemble, or create derivative works from the software. MedCalc Software reserves all rights not expressly granted under this Agreement.
Single-user perpetual license
If you purchase a single-user perpetual MedCalc license, you receive a non-transferable, perpetual right to install the software on your desktop and laptop computers, provided neither computer serves as a network server, and to use the software on a non-concurrent basis on those computers.
Single-user subscription
If you purchase a single-user subscription, you receive the right to install the software on your desktop and laptop computers, provided neither computer serves as a network server, and to use the software on a non-concurrent basis during the subscription period.
Site license
A site license permits installation and use of the software on an unlimited number of computers within a single geographical unit of an organization or institution during the subscription period.
Network license
If you purchase a network license for the required number of concurrent users, the software may be used on one network server during the subscription period, subject to the applicable concurrent-user limit.
Disclaimer of warranties - Limitation of liability
The software is designed and provided as general-purpose software and not for any particular user purpose. You acknowledge that no software is error-free and that you should back up your files regularly. To the maximum extent permitted by applicable law, MedCalc Software disclaims all warranties, conditions, and other terms, whether express or implied, including any implied warranties of satisfactory quality and fitness for a particular purpose, with respect to the software and any accompanying written materials. MedCalc Software and its suppliers will not be liable for any damages whatsoever, including loss of business profits, business interruption, loss of business information, or other pecuniary loss, arising from the use of, or inability to use, the software. In all cases, MedCalc Software’s total liability under this Agreement will be limited to the amount actually paid for the software.
Audit rights
MedCalc Software may audit use of the software to verify compliance with this Agreement. To support that process, the software is configured to enable secure periodic HTTPS communications with MedCalc Software. During those communications, license information is transmitted to help verify compliance, including the license serial number and other relevant compliance-related information. That information will be used only in connection with the audit process.
Termination
This license will terminate automatically if you fail to comply with any of its terms. MedCalc Software is not required to provide notice to effect that termination. You may also terminate this Agreement at any time by notifying MedCalc Software in writing.
Force majeure
MedCalc Software will not be liable for any delay, failure, or interruption in providing services or performing its obligations under this Agreement to the extent caused, directly or indirectly, by circumstances beyond its reasonable control.
Governing law and disputes
This Agreement and the contractual relationship between MedCalc Software and the software user are governed by Belgian law. Any dispute relating to this Agreement will be decided exclusively by the courts located in Bruges, Belgium.
Amendments and current version
This Agreement may be updated from time to time without notice. The most recent version, which supersedes all prior versions, is available from: www.medcalc.org/en/license
